Introduction
This Developer Agreement ("Agreement") establishes a legally binding contract between you, the Developer, and DropChain Inc ("Company"). This Agreement governs your use of the Company's Software Development Kits (SDKs), Application Programming Interfaces (APIs), and related services ("Services") for the purpose of developing, deploying, and managing applications within the DropChain Network. By accessing, utilizing, or contributing to the DropChain Network, you affirm your agreement to be bound by and comply with the terms outlined in this Agreement.
1. Definitions
- Developer: Refers to any individual or organization that utilizes the SDKs and APIs provided by DropChain Inc for the purpose of creating and deploying web3 applications on the DropChain Network.
- End User: Any individual or entity that uses or interacts with applications hosted on the DropChain Network.
- DropChain Network: A blockchain infrastructure and platform developed by DropChain Inc, designed to support a diverse range of applications and facilitate blockchain-based transactions.
2. Scope of License for Developers
a. License Grant: DropChain Inc hereby grants you a conditional, non-exclusive, non-transferable, and revocable license to access and use its SDKs, APIs, and other provided development tools, strictly for the purpose of developing applications on the DropChain Network. This grant is contingent upon your full compliance with the terms and conditions set forth in this Agreement.
b. Usage Restrictions: As a Developer, you are prohibited from engaging in any form of misuse of the Services. This includes, but is not limited to, infringing upon the intellectual property rights of others, reverse-engineering, unauthorized replication or distribution of the Services, and any other actions that contravene the spirit and purpose of this Agreement. Engaging in unauthorized or improper use of the Services constitutes a violation of this Agreement and will result in the immediate revocation of the granted license.
3. Developer Responsibilities
- Develop Secure Applications: Developers are required to adhere to high security standards while developing applications. This includes implementing robust security protocols and encryption measures to protect user data and application integrity.
- API and Key Management: Safeguard API keys and any temporary keys provided to users. Implement secure key management practices to prevent unauthorized access and data breaches.
- Asset Classification and Reporting: Accurately classify the assets developed within the DropChain Network. Promptly report any misclassifications to DropChain Inc for rectification. Understand that assets should not be classified as securities unless they meet legal compliance requirements.
- Independent Transactions: Conduct sales transactions with End Users independently, acknowledging that DropChain Inc is not a party to these transactions and bears no responsibility for their execution or outcome.
- Data Usage Compliance: Refrain from using unauthorized or unconsented personal data in assets or application code. Ensure compliance with data protection laws and respect user privacy.
- Ethical Conduct: Maintain ethical practices in all interactions and transactions with End Users and DropChain Inc. This includes transparency, honesty, and fairness in all dealings within the DropChain ecosystem.
4. Asset Classification and Compliance
- Value-driven Asset Development: Assets created should primarily offer utility and value through their functionality and integration within the DropChain Network.
- Compliance with Securities Law: If assets are to be classified as securities, Developers must ensure full compliance with applicable securities laws and regulations. Developers bear complete responsibility for understanding and adhering to these legal requirements.
5. Transactions and Dispute Resolution
a. Independent Transactions: All financial transactions between Developers and End Users occur independently and outside the purview of DropChain Inc. Developers and End Users are solely responsible for the terms, execution, and fulfillment of these transactions.
b. Dispute Resolution: In the event of disputes, initial resolution efforts should be pursued directly between the involved parties. If unresolved, DropChain Inc may offer mediation assistance based on available information, but it does not guarantee a specific outcome or resolution.
6. Intellectual Property Rights
a. Developer Content Ownership: Developers retain full ownership and rights to the content they create, particularly within the web2 infrastructure of the DropChain Network. This encompasses all forms of creative and technical output.
b. Promotional License to DropChain Inc: Developers grant DropChain Inc a non-exclusive, royalty-free, worldwide license to use, display, and reproduce their applications for marketing and promotional activities related to the DropChain Network. This license is subject to the developers' proprietary rights and can be revoked under the terms of this Agreement.
7. Liability and Indemnification
- Liability Disclaimer: DropChain Inc expressly disclaims all liability related to issues, damages, or losses arising from the use or functionality of Developer Applications on the DropChain Network. This includes, but is not limited to, software malfunctions, security breaches, and any other operational issues within these applications.
- Developer Indemnification: Developers are required to indemnify and hold harmless DropChain Inc against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from their breach of this Agreement, including but not limited to, violations of intellectual property rights, data security breaches, and any misrepresentation of their applications or assets.
- Exclusion of Off-Network Liability: DropChain Inc shall not be held liable for any transactions, disputes, or interactions that occur outside the DropChain Network, including but not limited to activities on other blockchain platforms or networks.
8. Reporting and Content Takedown
- Reporting Obligation: Developers are obligated to immediately report any instances of content or assets on the DropChain Network that violate intellectual property rights or contain unauthorized data.
- Content Takedown Process: Requests for content takedown must be submitted to DropChain Inc with comprehensive details, including the specific asset ID, a detailed description of the infringement, and any supporting evidence. DropChain Inc commits to promptly reviewing such reports and taking appropriate actions in line with its policies and legal obligations.
9. Termination of Agreement
a. Termination Rights:
- Developer Initiated: Developers may terminate this Agreement at any time by discontinuing the use of all DropChain Services and notifying DropChain Inc in writing.
Company Initiated: DropChain Inc reserves the right to terminate this Agreement at its discretion for any violations or actions by the Developer that are detrimental to the Company's interests, its users, or the DropChain Network.
- b. Consequences of Termination:
- Termination results in immediate cessation of the Developer's access to the Services. However, certain critical provisions, including those related to intellectual property, indemnification, and liability, will continue to be effective post-termination.
10. Additional Provisions
a. Updates and Modifications: DropChain Inc may, at its sole discretion, modify or update this Agreement and its associated policies. Such changes will be communicated through appropriate channels and will take effect immediately upon posting. Continued use of the Services following any such changes constitutes acceptance of the new terms.
b. Acknowledgment of Conflict of Interest and Third-Party Content: DropChain Inc acknowledges the potential for conflicts of interest due to its own developments and those by third parties. Additionally, DropChain Inc disclaims any liability for the examination, evaluation, or endorsement of third-party content accessible through its Services.
Conclusion
This Agreement constitutes the full and complete understanding between the Developer and DropChain Inc regarding the use and development of applications on the DropChain Network. It supersedes all previous communications, representations, or agreements, whether oral or written, between the parties concerning its subject matter.
